Terms of Service

These Terms of Service ("Terms") govern your use of webworxus.com (the "Site") and any services provided by WEBWORX LLC ("WEBWORX", "we", "us", "our"), a limited liability company registered in the State of New Mexico, United States. By using the Site or engaging our services, you agree to these Terms.

1. Services

WEBWORX provides web design, web and software development, UI/UX design, e-commerce, branding, SEO and related digital services ("Services"). The specific scope, deliverables, timeline and fees for any engagement are defined in a written proposal or statement of work agreed between you and WEBWORX.

2. Proposals & Quotes

Prices shown on the Site are starting points for illustration. Binding pricing is provided in a written quote. Quotes are valid for 30 days unless stated otherwise. Work begins once the proposal is approved and any agreed deposit is received.

3. Client Responsibilities

• Provide timely content, feedback, access and materials needed to complete the work.
• Ensure you own or have rights to any materials you supply (text, images, trademarks).
• Designate a point of contact authorized to approve deliverables.

Project timelines assume reasonable turnaround on feedback. Delays in client input may extend timelines accordingly.

4. Fees & Payment

• Fees, deposits and milestones are set out in your proposal. Many projects use 50% to start and 50% on completion, or milestone billing for larger engagements.
• Invoices are due within the period stated on the invoice. Late payments may pause work.
• Third-party costs (domains, hosting, licenses, stock assets) are billed at cost or as quoted.

5. Revisions & Changes

Each engagement includes the number of revision rounds stated in the proposal. Changes beyond the agreed scope ("change requests") will be quoted separately and agreed in writing before work proceeds.

6. Intellectual Property

• Upon receipt of full payment, final deliverables created specifically for you transfer to you, including source files where applicable.
• We retain ownership of pre-existing tools, libraries, frameworks and know-how, and grant you a license to use them within the deliverables.
• Third-party assets remain governed by their own licenses.
• We may showcase completed work in our portfolio unless you request otherwise in writing.

7. Warranties & Disclaimers

We perform Services in a professional and workmanlike manner. Except as expressly stated, the Site and Services are provided "as is" without warranties of any kind. We do not guarantee specific business results, search rankings, or that software will be entirely error-free or uninterrupted.

8. Limitation of Liability

To the maximum extent permitted by law, WEBWORX's total liability arising from an engagement is limited to the amount you paid us for that engagement in the six (6) months preceding the claim. We are not liable for indirect, incidental, special or consequential damages, or loss of profits, data or goodwill.

9. Confidentiality

Each party agrees to keep the other's non-public information confidential and to use it only to perform the engagement. We're happy to sign a mutual NDA on request.

10. Termination

Either party may terminate an engagement with written notice. You will be billed for work completed up to the termination date, and we will deliver all paid-for work product.

11. Governing Law

These Terms are governed by the laws of the State of New Mexico, USA. Disputes will first be addressed informally by contacting contact@webworxus.com; unresolved disputes shall be brought in the state or federal courts located in New Mexico.

12. Changes to These Terms

We may update these Terms from time to time. The "Effective date" above reflects the latest revision; continued use of the Site constitutes acceptance.
